Many of the products supplied by Elevate Tech Limited are safety-critical components used in passenger and freight elevator (lift) and vertical transportation systems. Incorrect selection, installation, integration, commissioning, inspection, testing, maintenance, use or misuse of these products can cause serious injury, loss of life and significant damage to property. These products must be handled only by suitably qualified, competent and (where required) licensed elevator and vertical transportation professionals, in accordance with all applicable laws, standards, codes, manufacturer instructions and engineering best practice. Please read this Disclaimer carefully before purchasing or using any product.
1. Introduction
1.1 This Product Safety and Installation Disclaimer ("Disclaimer") sets out important safety information and disclaimers relating to the products ("Goods") supplied by Elevate Tech Limited ("Elevate Tech", "we", "us" or "our").
1.2 This Disclaimer forms part of, and must be read together with, our Terms and Conditions of Sale and Website Use, our Warranty Policy, and our Disclaimer and Limitation of Liability Policy. The limitations and indemnities in those documents apply in addition to those in this Disclaimer.
1.3 By purchasing or using any Goods, you acknowledge that you have read, understood and accepted this Disclaimer.
2. Definitions
2.1 In this Disclaimer:
"Safety-Critical Component" means any Product that performs, or contributes to, a safety function in a passenger or freight elevator, lift or vertical transportation system, including (without limitation) safety gear assemblies, limit switches, inverters, guide rails, rail fixation clamps, fishplates, joint plates, T-clips, and associated mechanical and electrical components;
"Qualified Professional" means a person who is suitably qualified, trained, competent and (where required by law or by the relevant standard) licensed or registered to select, install, integrate, commission, inspect, test, maintain or service elevator and vertical transportation equipment;
"Technical Data" means descriptions, specifications, drawings, dimensions, ratings, performance data, images, engineering documentation, compatibility information and other technical information relating to the Goods, including data presented through any product information management ("PIM") system.
3. Nature of the Goods
3.1 The Goods include mechanical and electrical components used in the construction, installation, modernization, maintenance and repair of elevators, lifts and vertical transportation systems. Many of the Goods are Safety-Critical Components.
3.2 The Goods are intended for supply to, and use by, professional trade customers in the elevator and vertical transportation industry, and not by the general public.
4. Professional Installation Strongly Required
4.1 Elevate Tech strongly recommends, and you accept, that all Goods — and in particular Safety-Critical Components — be selected, installed, integrated, wired, configured, commissioned, tested, inspected, maintained and serviced ONLY by Qualified Professionals.
4.2 Installation, integration, commissioning, inspection, testing, maintenance and servicing of elevator and vertical transportation equipment must be carried out:
(a) in accordance with all applicable laws, regulations, by-laws and safety standards; (b) in accordance with applicable national and international standards and codes of practice for the manufacture, installation, maintenance and safety of lifts, escalators and passenger conveyors; (c) in accordance with the Manufacturer's instructions, specifications, ratings and documentation; (d) in accordance with the requirements of the Occupational Health and Safety Act 85 of 1993 and its regulations, where applicable; and (e) in accordance with sound engineering practice.
4.3 Goods must not be installed, integrated or used by persons who are not Qualified Professionals. Doing so may be unlawful and may create a serious risk of injury, death or property damage.
5. Elevate Tech Supplies Goods Only
5.1 Elevate Tech is a supplier of Goods. Elevate Tech does not design, engineer, select (other than supplying the specific item ordered), install, integrate, wire, configure, commission, inspect, test, certify, maintain or service any Goods or any elevator or vertical transportation system.
5.2 Elevate Tech does not supervise, control or accept responsibility for any installation, integration, commissioning, inspection, testing, maintenance, servicing or use of the Goods, all of which are performed by you or by third parties outside our control.
5.3 Nothing on the Website or in any Technical Data constitutes engineering, design, installation, inspection, certification or professional advice, and must not be relied upon as such.
6. Customer Responsibilities
6.1 You are solely responsible for, and warrant that you will ensure, the following:
(a) Qualification of installers — that all persons who select, install, integrate, commission, inspect, test, maintain, service or use the Goods are Qualified Professionals; (b) Product selection — that the correct Goods are selected for the specific application, system, load, duty, environment and operating conditions; (c) Compatibility — that the Goods are compatible with the existing equipment, components, control systems, installation and infrastructure with which they will be used; (d) Specification verification — that all Technical Data and specifications are independently verified before purchase and use, and confirmed against the Manufacturer's current documentation; (e) Compliance — that the selection, installation, integration, commissioning, inspection, testing, maintenance, servicing and use of the Goods comply with all applicable laws, standards, codes and Manufacturer requirements; (f) Inspection and testing — that the Goods and the system are properly inspected, tested, commissioned and certified before being placed or returned into service; and (g) Maintenance — that the Goods and the system are maintained and serviced at appropriate intervals by Qualified Professionals.
6.2 You must ensure that end-users and any third parties are not exposed to risk arising from the Goods, the installation, or the system.
7. Technical Data, Specifications and PIM System Disclaimer
7.1 Technical Data is provided for general guidance and identification purposes only. It is provided on an "as is" basis and may be incomplete, inaccurate, out of date or subject to change without notice. Data presented through the PIM system or any data feed may contain errors, omissions or delays.
7.2 You must independently verify all Technical Data — including dimensions, ratings, specifications, certifications and compatibility — before purchasing, installing or using any Goods. Do not rely solely on the Website, the PIM system, images or general descriptions.
7.3 Images and illustrations are for identification only and may not reflect exact dimensions, finishes or included components. Manufacturers may change specifications and designs without notice.
7.4 To the maximum extent permitted by law, Elevate Tech disclaims all liability for loss or damage arising from reliance on Technical Data, the PIM system, any data feed, engineering documentation, images or descriptions.
8. Prohibited and Improper Use
8.1 You must not:
(a) install or use Goods other than in accordance with applicable laws, standards, codes and Manufacturer instructions; (b) use Goods that are damaged, defective, expired, tampered with, or beyond their service life; (c) modify, alter, repair, re-rate or repurpose Goods in a manner not authorised by the Manufacturer; (d) use Goods in applications, systems, loads or environments for which they are not suitable or rated; (e) combine Goods with incompatible components or systems; or (f) place or return a system into service without proper inspection, testing and certification by Qualified Professionals.
8.2 Improper installation, improper use, misuse, unauthorised modification and use of unsuitable or incompatible Goods are at your sole risk and may void any Manufacturer Warranty and any other right, and may give rise to liability on your part.
9. No Liability for Installation, Use or Misuse
9.1 To the maximum extent permitted by law, Elevate Tech and the Indemnified Parties (as defined in the Disclaimer and Limitation of Liability Policy) are not liable for any loss, damage, injury or death arising out of or in connection with:
(a) the selection, installation, integration, wiring, configuration, commissioning, inspection, testing, maintenance, servicing, use, misuse or improper installation of the Goods; (b) the use of the Goods by persons who are not Qualified Professionals; (c) incompatibility, incorrect selection, or unsuitable application of the Goods; (d) reliance on Technical Data, the PIM system, any data feed, engineering documentation, images or descriptions; (e) failure to comply with applicable laws, standards, codes or Manufacturer instructions; or (f) the condition or performance of any elevator, lift or vertical transportation system into which the Goods are incorporated.
9.2 This exclusion is subject only to the carve-outs in the Disclaimer and Limitation of Liability Policy (which preserve liability for death or personal injury caused by our gross negligence, for fraud, and for any liability that cannot lawfully be excluded).
10. Indemnity
10.1 To the maximum extent permitted by law, you indemnify and hold harmless Elevate Tech and the Indemnified Parties against any and all claims, demands, actions, proceedings, liabilities, losses, damages, penalties, fines, costs and expenses (including reasonable legal costs on the attorney-and-own-client scale) arising out of or in connection with:
(a) the selection, installation, integration, commissioning, inspection, testing, maintenance, servicing, use, misuse or improper installation of the Goods; (b) the use of the Goods by persons who are not Qualified Professionals; (c) any injury, death, loss or damage to any person or property arising from the Goods, the installation, or the system, after risk has passed to you; or (d) your breach of this Disclaimer or any applicable law, standard or code.
10.2 This indemnity is in addition to the indemnities in the Terms and Conditions of Sale and Website Use and the Disclaimer and Limitation of Liability Policy, and survives the completion of any Order.
11. Consumer Protection and Product Safety Law
11.1 Nothing in this Disclaimer excludes, limits or restricts any liability or right that cannot lawfully be excluded, limited or restricted, including under the Consumer Protection Act 68 of 2008 ("CPA") where it applies (for example, in relation to product liability under section 61 of the CPA). Where the CPA applies, this Disclaimer must be read subject to it. The CPA generally does not apply where you are a juristic person exceeding the threshold under section 6 of the CPA.
11.2 This Disclaimer allocates risk between commercial parties in respect of matters within your control (such as installation and use) and does not purport to exclude any non-excludable statutory product-safety liability.
12. Amendments
12.1 We may amend this Disclaimer from time to time. The updated version will be published on the Website with a revised "Effective Date" and "Version". The version applicable to Goods is the version in force at the date the relevant Order was placed.
13. Governing Law and Dispute Resolution
13.1 This Disclaimer is governed by the laws of the Republic of South Africa.
13.2 Any dispute arising from this Disclaimer is subject to the dispute resolution and jurisdiction provisions of our Terms and Conditions of Sale and Website Use (negotiation, then mediation, then arbitration in Cape Town under AFSA rules, with the non-exclusive jurisdiction of the Western Cape Division of the High Court).
