1. Introduction

1.1 This Disclaimer and Limitation of Liability Policy ("Policy") sets out important disclaimers and the limitations and exclusions of liability that apply to your use of the website at https://store.elevatetech.biz (the "Website") and to the Goods supplied by Elevate Tech Limited ("Elevate Tech", "we", "us" or "our").

1.2 This Policy forms part of, and must be read together with, our Terms and Conditions of Sale and Website Use, our Warranty Policy, and our Product Safety and Installation Disclaimer. The limitations in this Policy apply in addition to, and not in substitution for, those in the other documents.

1.3 Please read this Policy carefully. It limits and excludes liability and contains important risk allocations and an indemnity. Nothing in this Policy excludes, limits or restricts any right or liability that cannot lawfully be excluded, limited or restricted, including under the Consumer Protection Act 68 of 2008 ("CPA") where it applies.

2. Definitions

2.1 In this Policy:

"Goods" means any product, component, part, item, engineering documentation or technical data supplied by Elevate Tech, including Safety-Critical Components;

"Indemnified Parties" means Elevate Tech and its directors, officers, employees, agents, contractors, suppliers and affiliates;

"PIM System" means any product information management system or data feed used to present product information on the Website;

"Safety-Critical Component" has the meaning given in the Terms and Conditions of Sale and Website Use;

"Technical Data" means descriptions, specifications, drawings, dimensions, weights, ratings, performance data, images, engineering documentation, compatibility information and other technical information relating to the Goods.

3. General Website Disclaimer

3.1 The Website and all content, materials, information and Technical Data on it are provided on an "as is" and "as available" basis.

3.2 To the maximum extent permitted by law, we make no representation or warranty, express or implied, that:

(a) the Website will be uninterrupted, timely, secure or error-free; (b) the Website or its servers are free of viruses or other harmful components; (c) defects will be corrected; or (d) the content, materials or Technical Data on the Website are accurate, complete, reliable, current or fit for any particular purpose.

3.3 We may suspend, withdraw, restrict or change all or any part of the Website without notice and without liability. We do not guarantee that the Website, or any content on it, will always be available or uninterrupted.

4. Technical Data, Specifications and PIM System Disclaimer

4.1 Technical Data is provided for general guidance and identification purposes only. It is not advice and must not be relied upon as a substitute for professional engineering judgement, manufacturer documentation, or independent verification.

4.2 Technical Data, including data presented through the PIM System and any data feed, is provided on an "as is" basis. While we take reasonable care, we do not warrant that Technical Data is accurate, complete, current, error-free, or suitable for any particular application. Manufacturers may change specifications, ratings or designs without notice, and data feeds may contain errors, omissions or delays.

4.3 You are solely responsible for independently verifying all Technical Data — including dimensions, ratings, specifications, certifications and compatibility — before purchasing, installing, integrating or using any Goods. You must confirm suitability for the specific elevator or vertical transportation system, application and operating conditions involved.

4.4 We do not warrant the accuracy, completeness or currency of any engineering documentation supplied with or in respect of the Goods. Such documentation is provided to assist qualified professionals and is not a substitute for the Manufacturer's current documentation or for professional assessment.

4.5 To the maximum extent permitted by law, we disclaim all liability for any loss or damage arising from reliance on Technical Data, the PIM System, any data feed, or any engineering documentation.

5. Product Selection, Compatibility and Application

5.1 Responsibility for product selection, compatibility and application rests entirely with you. Elevate Tech supplies the specific Goods ordered; it does not select, design, specify or recommend Goods for your particular application, and any general guidance does not constitute professional advice or a warranty of suitability.

5.2 You are responsible for ensuring that the Goods are compatible with, and appropriate for, the existing equipment, components, control systems, installation, environment and regulatory requirements in which they will be used.

5.3 We are not liable for any loss or damage arising from incorrect selection, incompatibility, or unsuitable application of the Goods, whether or not we were aware of your intended use.

6. Safety-Critical Components, Installation and Use

6.1 Many of the Goods are Safety-Critical Components. Their incorrect selection, installation, integration, commissioning, inspection, testing, maintenance, use or misuse may cause serious injury, death or damage to property.

6.2 As more fully set out in the Product Safety and Installation Disclaimer:

(a) Goods, and in particular Safety-Critical Components, must be selected, installed, integrated, commissioned, tested, inspected, maintained and serviced only by suitably qualified, competent and (where required) licensed elevator and vertical transportation professionals, in accordance with all applicable laws, standards, codes, Manufacturer instructions and engineering best practice; and (b) Elevate Tech supplies Goods only and does not perform, supervise, certify or accept responsibility for the design, installation, integration, commissioning, inspection, testing, maintenance, servicing or use of any Goods or system.

6.3 To the maximum extent permitted by law, Elevate Tech is not liable for any loss, damage, injury or death arising from or connected with the improper, unqualified or non-compliant installation, integration, commissioning, inspection, maintenance, use or misuse of the Goods.

7. Exclusion of Liability

7.1 To the maximum extent permitted by law, the Indemnified Parties shall not be liable for any:

(a) indirect, incidental, special, consequential, exemplary or punitive loss or damage; (b) loss of profit, revenue, income, business, production, contracts, opportunities, goodwill or anticipated savings; (c) loss arising from business interruption, downtime, delay or inability to use the Goods, the Website or any system; (d) cost of procuring substitute goods or services; (e) loss or corruption of data; or (f) loss or damage arising from third-party claims,

whether arising in contract, delict (including negligence), breach of statutory duty, indemnity or otherwise, and whether or not the possibility of such loss or damage was foreseeable or had been notified to us.

7.2 To the maximum extent permitted by law, the Indemnified Parties shall not be liable for loss or damage arising from:

(a) your reliance on Technical Data, the PIM System, any data feed, engineering documentation, or any content on the Website; (b) the selection, installation, integration, commissioning, inspection, maintenance, use, misuse or improper installation of the Goods; (c) incompatibility, incorrect selection, or unsuitable application of the Goods; (d) any act or omission of a third party, including Delivery Partners, payment providers, Manufacturers and other service providers; (e) unauthorised access to, or alteration of, your data or transmissions; or (f) any Force Majeure event as described in the Terms and Conditions of Sale and Website Use.

8. Limitation of Liability (Cap)

8.1 To the maximum extent permitted by law, and notwithstanding anything to the contrary, the total aggregate liability of the Indemnified Parties arising out of or in connection with any Order, the Goods, the Website or these policies, whether in contract, delict (including negligence), statute, indemnity or otherwise, shall not exceed the amount actually paid by you to Elevate Tech for the specific Goods giving rise to the claim.

8.2 Each provision of this Policy that excludes or limits liability operates separately. If any part is held to be unenforceable, the remaining parts continue to apply.

9. Carve-Outs (Liability Not Excluded)

9.1 Nothing in this Policy or in any other policy excludes or limits liability for:

(a) death or personal injury caused by our gross negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot lawfully be excluded or limited under applicable law, including under the CPA where it applies; or (d) any other liability to the extent that it may not lawfully be excluded or limited.

10. Indemnity

10.1 To the maximum extent permitted by law, you indemnify and hold harmless the Indemnified Parties against any and all claims, demands, actions, proceedings, liabilities, losses, damages, penalties, fines, costs and expenses (including reasonable legal costs on the attorney-and-own-client scale) arising out of or in connection with:

(a) your breach of these policies or any applicable law; (b) your use of the Website or the Goods; (c) the selection, installation, integration, commissioning, inspection, testing, maintenance, servicing, use, misuse or improper installation of the Goods, including any Safety-Critical Component; (d) your reliance on Technical Data, the PIM System, any data feed or engineering documentation; (e) any injury, death, loss or damage to any person or property arising from the Goods after risk has passed to you; or (f) your infringement of any third-party right.

10.2 This indemnity survives the completion of any Order and the termination of your use of the Website.

11. Consumer Protection Act

11.1 Where the CPA applies to you, this Policy must be read subject to the CPA, and any provision that is inconsistent with a right conferred by the CPA applies only to the extent permitted by the CPA. The remaining provisions continue to apply. The CPA generally does not apply where you are a juristic person exceeding the threshold under section 6 of the CPA.

12. Amendments

12.1 We may amend this Policy from time to time. The updated version will be published on the Website with a revised "Effective Date" and "Version". The version applicable to a claim is the version in force at the date the relevant Order was placed.

13. Governing Law and Dispute Resolution

13.1 This Policy is governed by the laws of the Republic of South Africa.

13.2 Any dispute arising from this Policy is subject to the dispute resolution and jurisdiction provisions of our Terms and Conditions of Sale and Website Use (negotiation, then mediation, then arbitration in Cape Town under AFSA rules, with the non-exclusive jurisdiction of the Western Cape Division of the High Court).
